Frequently asked questions
What happens if ROC annual returns are filed late?
An additional fee of ₹100 per day of delay applies to each form, with no upper limit. Continued non-filing can lead to penalties on the company and its officers.
Can a director be disqualified for non-filing?
Yes. If a company fails to file its financial statements or annual returns for three continuous financial years, its directors can be disqualified from being appointed in other companies for five years.
What is adjudication under the Companies Act?
For many defaults, the ROC acts as an adjudicating officer and imposes penalties after issuing a notice and giving an opportunity of being heard. A well-prepared reply can make a real difference to the outcome.
Can a struck-off company be revived?
Yes, within the time allowed by law, through an application for restoration. We prepare the filings and documents needed for the process.
